Changes to the governing bodies of the future multiQure Company reflecting its business transformation

The General Meeting of Shareholders of Pure Biologics S.A. (in the process of changing its name to multiQure S.A.) has appointed new Members of the Supervisory Board. Dr. Kris Siemionow and Prof. Paul Lewicki – founders and shareholders of Biofund Capital Management, the Company’s main shareholder (following registration of the share capital increase with the National Court Register) – have joined the Company’s supervisory body, whose flagship project is an innovative RNAi therapy for Huntington’s disease. Michał Wnorowski and Dr. Michał Żółtowski, who was elected Chairman of the Supervisory Board, have also joined the Board. Its previous Member, Mr. Mirosław Ciućman, remains on the Board as well. The Supervisory Board in its new composition also elected a new Management Board Member – Sławomir Wójcik, a life science industry manager, whose term will begin on 2 July 2026. The new Members of the governing bodies of Pure Biologics S.A. (in the process of changing its name to multiQure S.A.) reflect the change in the Company’s shareholder structure following the contribution of the multiQure project and the successfully completed transaction raising PLN 50 million.

After raising PLN 50 million and bringing the multiQure project into Pure Biologics, it was only a matter of time before these recent changes were also reflected in the Company’s governing bodies. The new Members of the Supervisory Board fully reflect the future shareholder structure, while the new Management Board Member, who holds a PhD from Yale University and has experience managing innovative life science projects, will provide significant operational support – comments Dr. Kris Siemionow, lead investor in the multiQure project and new Member of the Supervisory Board of Pure Biologics S.A. (in the process of changing its name to multiQure S.A.).

The change in the composition of the Supervisory Board comes directly after the completion of a key stage in the transformation of Pure Biologics S.A. On 22 June 2026, the Company carried out an accelerated bookbuilding (ABB), raising PLN 50 million to fund the milestones of its RNAi therapy project for Huntington’s disease. The subscription period ended on 29 June. Prior to that, the multiQure project had been contributed to Pure Biologics and the process of changing the Company’s name to multiQure S.A. had begun. The new composition of the Supervisory Board reflects this transformation and provides the Company with the supervisory competencies appropriate to its new business model.

The share issue and the raising of funds were the last conditional elements of the investment agreement concluded between Pure Biologics, Biofund Capital Management and JD Copilot as owners of the MultiQure platform. Under the investment agreement, Biofund and JD Copilot, the owners of the project, contributed to Pure Biologics shares in the company that owns the platform, taking up, respectively, 112,850,000 and 33,850,000 Series Q shares in the Company. In addition, the transaction was also conditional upon the write-off of a PLN 12 million loan granted to the Company by ACRX, a significant shareholder, in exchange for 16,804,603 Series R shares. The change of the Company’s name to multiQure S.A. will take effect together with the registration of the share capital increase.

The process of introducing the multiQure project into Pure Biologics has now been de facto completed. The agreement on introducing the project into the Company and the agreement with ACRX on the loan conversion have been signed, following which the Company successfully completed the issue of Series S shares, raising PLN 50 million for the development of the multiQure project. The funds have already been credited to the brokerage house’s bank accounts. Today, an application will be filed for registration of the capital increase and the change of the Company’s name with the National Court Register. We are already taking action, together with the support of Biofund and the Supervisory Board, that we expect will lead us to achieve our goals. We assume that the therapy will be administered within 12-18 months, and that within 2 years we will have preliminary data on its efficacy and safety profile – says Sławomir Wójcik, newly elected Member of the Management Board of Pure Biologics S.A. (in the process of changing its name to multiQure S.A.), whose term will begin on 2 July 2026.

In the coming months, the Company plans to prepare for the administration of the RNAi therapy to the first patients at a specialized center. To this end, entities responsible for the design and production of the viral vector required to conduct the study under the hospital exemption will be selected. The first administrations of the therapy are planned for the second half of 2027. Physicians will then carry out regular patient monitoring – the Company expects to receive the first results of this process by mid-2028. In the meantime, the Company will prepare an application for a clinical trial (IND submission) to the FDA or another regulator. The submission of the application is also planned for mid-2028.

Profiles of the new Members of the Supervisory Board and Management Board:

Dr. Sławomir Wójcik, Management Board Member

An expert combining experience in scientific work with the business and strategic consulting sector. He holds a PhD in biophysical chemistry from Yale University (2018) and previously graduated from the MISMaP College at the University of Warsaw (2012). His scientific output includes 11 publications on, among other topics, the formation and properties of amyloid structures and molecular mechanisms associated with neurodegenerative diseases and diabetes. Consultant at McKinsey & Company (2019–2021), advising companies in the pharmaceutical, biotechnology and chemical sectors. From 2021 to 2025, he was associated with the Qemetica Group (formerly CIECH), where as a Member of the Management Board of Qemetica Ventures he was responsible for investments in innovative technology companies and the implementation of new technologies. He also served on the governing bodies of Smart Fluid S.A.

Dr. Michał Żółtowski, Chairman of the Supervisory Board

A transactional lawyer, PhD in law (University of Warsaw), and holder of master’s degrees in law and philosophy (Université de Poitiers, University of Warsaw). He specializes in M&A, VC/PE and joint venture transactions, international technology transfer, and legal services for technology companies and investment funds. He has served on the supervisory boards of, among others, Enerfund ASI SKA, Holo Surgical S.A. and Dystrogen Therapeutics S.A., and currently serves as Chairman of the Supervisory Board of Medicalgorithmics S.A.

Prof. Paul Lewicki, PhD, Supervisory Board Member

A cognitive scientist, entrepreneur and investor. Professor of cognitive psychology at the University of Tulsa (1984–2009), founder of the Laboratory of Unconscious Information Processing, funded by the National Science Foundation and the National Institutes of Health. A pioneer of commercial applications of data mining, he founded StatSoft, which grew into one of the world’s leading providers of data mining solutions (offices in 30 countries, over 1 million accounts) and was sold to Dell in 2014. He continues to develop AI technologies supporting medical progress. Member of the Supervisory Board of Medicalgorithmics S.A., listed on the Warsaw Stock Exchange. Co-founder and shareholder of Biofund Capital Management, the main shareholder of Pure Biologics S.A. (following registration of the share capital increase with the National Court Register; in the process of changing its name to multiQure S.A.).

Dr. Kris Siemionow, MD, PhD, Supervisory Board Member

A former spine surgeon and now an entrepreneur specializing in building life sciences companies, and the creator of Biofund Capital Management. He completed his surgical residency at Cleveland Clinic Foundation, followed by a spine surgery fellowship at Rush University Medical Center. Co-founder of Holo Surgical Inc (acquired in 2020) – the creator of an AI-based surgical navigation system – and of Inteneural Networks Inc (acquired in 2021), which offers diagnostics for neurodegenerative disorders. Founder of Robotron Surgical Technologies (acquired in 2026) and co-founder of Kardiolytics Inc. Author of more than 100 peer-reviewed publications and holder of 50 patents. Currently President of the Management Board of Medicalgorithmics S.A., listed on the Main Market of the Warsaw Stock Exchange. Manager and shareholder of Biofund Capital Management, the main shareholder of Pure Biologics S.A. (following registration of the share capital increase with the National Court Register; in the process of changing its name to multiQure S.A.).

Michał Wnorowski, Supervisory Board Member

A capital markets expert with 30 years of experience in investment management and corporate governance. Member of the Association of Independent Supervisory Board Members. Independent member of the supervisory boards and audit committees of, among others, PKP Cargo, Polski Holding Nieruchomości, PolTreg, Medicalgorithmics, Ailleron, HiProMine, AB and Captor Therapeutics. From 2012 to 2016, Investment Director managing the Long-Term Equity Portfolio of the PZU Group. Graduate of the Warsaw School of Economics (SGH) and the Cracow University of Economics.
